  1. DEFINITIONS:
    In these terms and conditions, the following words have the following meanings, unless the context requires otherwise:
    1. "Agreement" means the agreement between you and us incorporating these terms and conditions, the conditions of membership, Disclaimer and Privacy Policy It forms the entire agreement between you and us; in the event of any conflict between the documents, they shall rank in the order of precedence set out above
    2. "Alumni Member " means a former Grant Thornton employee who has agreed to the Conditions of Membership of the Grant Thornton National Alumni and to have their details to be stored in the Grant Thornton National Alumni Directory of Members
    3. "Content" means any file or other material posted on the Site, including the content of any messages sent or received using the messaging function, comments on any posted file or material , or relating to any business and mentoring opportunities
    4. "Grant Thornton" shall mean Grant Thornton UK LLP (registered number: OC307742, with registered address Grant Thornton House, Melton Street, London, NW1 2EP); and "we" "us" "our” shall be construed accordingly
    5. "Intellectual Property Rights" means all patents, database rights, copyright, design rights (whether registered or unregistered), trade-marks (whether registered or unregistered) and other similar rights wherever existing in the world, together with the right to apply for protection of the same
    6. "Profile" means the information confirmed by Alumni Members and included in the National Alumni Directory for Members, and in connection with access to the Site
    7. "Site" means alumni.grantthornton.co.uk, (and any other URLs which forward to such URL or which we may use from time to time) including access to the Grant Thornton National Alumni online community portal allowing you to share knowledge and experiences, create peer to peer networks, link to blogs and articles, answer alumni questions and participate in social elements
    8. "You" means an Alumni Member
       
  2. CONDITIONS OF AGREEMENT
    1. By accessing the Site and using the Services you accept the terms and conditions and agree to your personal data being processed in accordance with the Privacy Policy.
    2. These terms and conditions set out the conditions upon which we will grant access to the Site and provide the Services.
    3. Any use of the Site or Services for purposes other than those set out in these terms and conditions is strictly prohibited and in breach of this Agreement.
    4. Each Alumni Member is entitled to one Profile, subject to these terms.
    5. The purpose of the Site is to promote peer-to-peer networking and access to services and opportunities available from Grant Thornton. Provision of the Site by Grant Thornton does not constitute financial, management or consultancy advice. Our employees, sub-contractors and/ or agents are not authorised to make any representations or warranties concerning the Site and you agree that you do not rely on any representation or warranty that has not been made in accordance with this Agreement.
    6. We do not verify the information provided by Alumni Members for the purposes of their Profile and participation in the Site , but reserve the right to monitor and at our option to remove for any reason any information, messages, photographs and/ or other Content.
       
  3. YOUR OBLIGATIONS
    1. You shall not:
      1. disclose your chosen Site password to any unauthorised person. You agree to notify us of any unauthorised use of your password, account or other breach of security;
      2. attempt to gain unauthorised access to any information available on the Site;
      3. post and/ or reproduce in any way any Content or material which infringes the Intellectual Property Rights of another party;
      4. copy, store, modify, transmit, distribute, broadcast or publish any Content, save in accordance with these terms and conditions;
      5. use the Site to initiate the sending of unsolicited advertising or promotional material, including spam or junk mail;
      6. use the Site or Services or any part of them for your own commercial purposes or commercial gain, other than as permitted by this Agreement, or in a way which infringes the rights of others (including their use of the Site or access to Services);
      7. re-sell, copy or incorporate into any other work part or all of a file in any form without our express written permission, save that you may print or download extracts of Content for personal use only;
      8. attempt to modify, adapt, translate, reverse engineer, decompile or disassemble any part of the Site;
      9. remove proprietary notices, extract data to create any database, "scrape" or data-mine from the Site;
      10. link to any other website without Grant Thornton's consent
         
    2. You are responsible for ensuring that anyone who accesses the Site or your Profile is aware of this Agreement, and that they comply with its term . You are solely responsible for all activities under your Profile and account details, even if you did not agree to, or have any knowledge of, such activities.
    3. You are responsible for your compliance with any applicable local laws relating to internet usage, online conduct and data export.
    4. We are under no obligation to update the Site or the Services and we make no guarantee that the Site shall meet any specific need or requirement.
       
  4. YOUR PROFILE
    1. We shall be entitled to decide whether to accept you as a user of the Site or the Services and may periodically review your Profile from time to time and amend or delete it. Our decision is subject to our absolute discretion and shall be final.
    2. You agree to ensure that the information posted in your Profile by you, is truthful, complete and accurate, not misleading and kept regularly updated by you as and when necessary.
       
  5. INTELLECTUAL PROPERTY RIGHTS AND CONFIDENTIALITY
    1. All Intellectual Property Rights in the Site are owned by us absolutely. All Intellectual Property Rights in your Content are owned by you absolutely. You agree to grant us a non-exclusive, global, royalty free, perpetual and non-revocable licence to use Content provided by you for purposes in connection with the operation of the Site and Services as we deem fit.
    2. You agree that you will keep confidential and not use, except for purposes contemplated by this Agreement, any information relating to the Site which may be disclosed to you or which you may learn, except where such information is public knowledge or is required to be disclosed by law. You agree to treat other users' information as confidential.
    3. We will use our reasonable endeavours to keep all information you provide to the Site through your Profile confidential and will not disclose such information, except where it is public knowledge, is required to be disclosed by law or as may be required to enforce this Agreement, to protect the rights, property or safety of us, Grant Thornton UK LLP, our people, suppliers, other Site users or the public, or to resolve complaints relating to the rights of others, where disclosure is necessary.
    4. Content you upload to the Site will be accessible and seen by other Alumni Members. We cannot guarantee that other Alumni Members will not make use of your Content for their own purposes. We cannot be responsible for how other Alumni Members use Content on the Site. Please act responsibly when considering whether or not to post Content.
    5. We do not accept responsibility for you sharing confidential information with other Alumni Members either within or outside the Site. It is your responsibility to ensure that any necessary confidentiality agreements are in place prior to sharing such information.
       
  6. ACCURACY OF INFORMATION
    1. We endeavour to keep the information available on the Site up to date and correct, however as we do not control all information on the Site we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability of such information, or products or services referred to.
    2. We cannot guarantee that information will not contain material that may be regarded as indecent, offensive or objectionable. We have the right (but not obligation) to remove any material that we believe to be objectionable. Please notify us if you believe that particular content is present.
    3. The presence of any links to external web-sites run by third parties does not signify any endorsement by us of such web-sites, content or services available, nor can we guarantee or accept any liability in relation to their non-availability or if they (or any products or services available from them) are not suitable for your needs.
    4. The Site may change without notice. Any reliance you place on any information or Content which you obtain from the Site is therefore strictly at your own risk.
    5. We do not warrant that any of the Site Content Site is accurate. It is a condition of our allowing you to access the Site that you accept we are not be liable for any action you take in reliance on the Content or Services as you are responsible for assessing its accuracy, completeness and whether it is appropriate or adequate to meet your needs.
    6. We do not provide any warranty in respect of the Site, results, availability, and/or uninterrupted use of the Site due to technical issues beyond our control. In particular, errors or conflicts in the software or data may not be correctable.
       
  7. UPLOADING CONTENT TO THE SITE
    1. Should you upload Content/ make contact with other Alumni Members via the Site, such material must be accurate and fair, comply with applicable laws and must not:
      • be defamatory, obscene, offensive, discriminatory, hateful or inflammatory or promote violence or illegal activity;
      • be likely to cause annoyance, inconvenience or needless anxiety for any other Alumni Members;
      • infringe on the copyright or trade mark held by another party;
      • be likely to deceive;
      • be in contradiction of any legal duty owed to a third party;
      • misrepresent yourself or any association with Grant Thornton;
      • create the impression that we endorse statements that you may make;
      • impersonate any other party or entity;
      • introduce or spread damaging code, viruses, denial of service attacks, or software designed to monitor, damage or hijack systems
         
    2. You agree to notify us as soon as is practicable in the event you believe any Content contained within your Profile or posted by you on the Site or provided by others on the Site does not comply with the provisions of this clause in order that we may investigate whether it should be removed or edited from the Site.
       
  8. USE OF FILES
    1. Use of any files or accompanying materials downloaded from the Site is on condition that you will not add, subtract make any edits which will infringe our or any third party’s Intellectual Property Rights (including but not limited to our name, whether used in a URL, metatag, hyperlink or otherwise).
       
  9. MESSAGING VIA THE SITE
    1. You are able to send and receive messages from us and other Alumni Members on the Site. You are solely responsible for your interactions with us and other Alumni Members and any messages you send via the Site and we accept no liability for the same.
    2. We may communicate with you via the messaging functionality on the Site or by email.
       
  10. POSTING BUSINESS AND MENTORING OPPORTUNITIES ON THE SITE
    1. Grant Thornton and Alumni Members may post business and mentoring opportunities via the Site. These may include details of products, mentoring, or services offered by us or other Alumni Members. By posting such opportunities, you agree to grant to us a non-exclusive, worldwide, royalty-free licence to publish the information submitted by you in accordance with this Agreement.
    2. Whilst we provide the functionality for Alumni Members to post business and mentoring opportunities on the Site ee do not verify business and mentoring opportunity postings by Alumni Members and have no responsibility for such postings or their authenticity.
    3. Any person acting as a member through the site agrees to not charge for their mentoring services.
    4. We may monitor Site traffic patterns, usage and related information in order to optimise the Site. We may use the information we gather to notify you about important functionality changes and alterations to the , or offers of products, services or information that might be of particular interest to you.
       
  11. TERMINATION
    1. Grant Thornton may decline to permit (i) access to the Site and (ii) the right to maintain a Profile to at its sole discretion for any reason.
    2. We may terminate this Agreement, remove your Profile or Content and end your membership of the Alumni Services and the Site immediately at any time without liability if you are in material breach of this Agreement and in the firms sole opinion the breach is not capable of remedy, or we believe your conduct has or is likely to result in harm to the reputation of us, our business or our clients.
    3. Notwithstanding any other clause of this Agreement, either party may terminate this Agreement at any time, for any reason at its absolute discretion. To remove your Profile please contact us at alumni@uk.gt.com. Termination shall be effective immediately upon our sending an email or letter giving notice of termination to the most recent email address or postal address you have provided to us.
    4. Termination of this Agreement shall not affect the accrued rights and liabilities of either party.
    5. Following termination, you agree that we may immediately deactivate your Profile and all related data and/ or bar any further access to the Site. You agree that we shall not be liable to you or any third party for any termination of your access to the Site. We shall not be responsible for failure to remove your Profile or any other data supplied by you, once the account becomes inactive for any reason, but agree to remove it as soon as reasonably practicable after receipt of a written request from you to do so.
    6. We may amend, suspend, or permanently move the Site or Services in whole or part at any time. We shall not be liable to you or any third party for such action or its consequences.
       
  12. LIMITATION OF LIABILITY
    1. Content and other materials posted on the Site by us do not constitute advice and are not intended as a substitute for your own independent professional advice.
    2. We reserve the right to remove Content placed on the Site by you on any reasonable grounds. Such grounds shall include (but shall not be limited to) improper or unauthorised use of the Grant Thornton National Alumni Members Directory or Grant Thornton branding; misleading registration of the portal; failure to comply with applicable legal or regulatory obligations; any breach of these terms; and any behaviour which risks the reputation of Grant Thornton or our business. In no event shall we be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with the removal of information from the Site.
    3. We cannot be responsible for any files downloaded or otherwise obtained through use of the Site, which is done at your own discretion and risk. You will solely be responsible for any damage to your computer system stemming from any losses which might result from the downloading of such material.
    4. It is possible for other Alumni Members and/ or third parties to obtain and misuse information about you as a result of your use of the Site. You should exercise due caution when providing information as we shall have no liability to you arising out of such misuse, which is beyond our reasonable control.
    5. Neither party shall have any liability to the other for any:
      1. consequential losses (including but not limited to loss of profits, damage to goodwill, damage to reputation, loss of data, loss of programs and/or Service interruptions);
      2. economic and/or other similar losses; and/ or
      3. special damages and indirect losses.
    6. Both you and we agree to mitigate any loss, damage, costs or expenses arising in relation to these terms and the Site.
    7. You must inform us immediately if anyone makes or threatens to make any claim or issue legal proceedings against you relating to your use of the Site and you will, at our request, immediately stop the act or acts complained of. If we ask you to, you must confirm the details of the claim(s) in writing.
    8. If you fail to stop the act or acts complained of, we may suspend your access to the Site. If we do so, we will not restore it until we receive an appropriate assurance from you that you will not continue to take such action or otherwise contravene the terms of this Agreement.
    9. Our aggregate liability to you under and/or arising under this Agreement in respect of any and all claims in connection with the Site shall not exceed £5,000.
    10. Nothing in this Agreement shall exclude or limit liability for death or personal injury due to either party’s negligence or fraudulent misrepresentation or any other loss which cannot be limited or excluded by law.
    11. We shall have no liability to you for any delay in delivery of the Site and/ or any other matters to the extent that such events and/ or matters are due to any event outside of our reasonable control, including but not limited to an act of God, war, flood, fire, labour dispute, strike, lock-out, riot, civil commotion, malicious damage, explosion, governmental action or any other similar events.
    12. We may implement policies and procedures to enhance the Site and user experience of the Site and Services including in relation to the storage of data (including volume), frequency of users' access, unattended sessions and migration to successor websites.
       
  13. INDEMNITY
    1. You agree to indemnify and keep us indemnified against any and all losses, proceedings, lost profits, damages, awards, expenses and costs (including increased administration costs and legal costs on a full indemnity basis), claims, actions and any other losses and/or liabilities suffered by us and arising from and/ or relating to your use of the Site.
       
  14. GENERAL
    1. The Contracts (Rights of Third Parties) Act 1999 shall not apply to this Agreement (i.e. no third party shall have any right to enforce this Agreement), save that any assignee of the rights and obligations set out in this Agreement may do so. We may assign this Agreement to any third party without your consent.
    2. No waiver by us of any breach of this Agreement shall be considered as a waiver of any subsequent breach of the same provision or any other provision.
    3. This Agreement constitutes the entire agreement between you and us in respect of your use of the Site through the Grant Thornton National Alumni. If any provision of this Agreement shall be held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the remaining parts of this Agreement and the remainder of the affected provision shall be unaffected and shall remain in full force and effect.
    4. We reserve the right to revise these terms and conditions at any time by amending this page. We therefore recommend that you review this page from time to time to take note of any changes. Your continued use of the Site will constitute your acceptance to any changes made to terms and conditions prior to such usage.
    5. This Agreement is governed by and interpreted in accordance with English law and the parties agree to submit to the exclusive jurisdiction of the English courts.
